These terms and conditions govern the purchase of all services and products provided by Token Root and create a contract between the purchaser ("you") and us.

Client / Customer: The individual or business entity purchasing services from Token Root.
Services: Website design, development, hosting assistance, management services, care packages, and any related digital products provided by Token Root.
Website: Any website created, configured, or delivered by Token Root as part of our Services.
Third-Party Services: External platforms or tools used to deliver our Services, including but not limited to website development platforms, payment processors, and hosting providers.
Bug: A reproducible fault in the Website that causes it not to operate substantially in accordance with the agreed functionality or original build delivered by Token Root.
Defect: A material failure of the Website to perform substantially in accordance with the agreed specification, scope, or functionality approved by the Client before delivery.
Coding Error: An error in the source code created by Token Root that directly causes a Bug or Defect in the operation of the Website. For the avoidance of doubt, Coding Errors do not include issues caused by third-party platforms, hosting providers, browsers, plugins, client changes, or content supplied by the Client.
Written or Electronic Approval: Any written or digital communication from the Client or its authorised representative clearly confirming acceptance or approval of a demonstration, deliverable, or other matter under these Terms.
A legally binding agreement between you and Token Root is formed when you place an order via our website, third party site or an agreed payment method and you confirm acceptance of these Terms at the point of purchase. Token Root reserves the right to refuse any order at its sole discretion.
These Terms constitute the entire agreement between the parties and supersede any prior discussions, proposals, or representations.
Token Root currently offers two primary service options. A one-time website purchase or a website and monthly management services. Ahead of purchasing a website we create and provide all clients with a demonstration website, hosted on a third-party site for the client to review. Once reviewed, edited and approved by the purchaser, Token Root extracts and reconstructs the website code and deploy via a third party hosting site. Upon delivery and full payment, you receive ownership of the website files produced for your project.
Token Root does not purchase or provide domain set up and assistance unless a separate package has been purchased or included in the transaction. Token Root does not provide ongoing management or support unless a separate care package or support agreement is purchased.
Alternatively, Token Root offers monthly management services for website purchases which operates on a monthly subscription basis. The services include but are not limited to Domain purchase, ownership, integration and management, third party integration, selected website security governed by a third party hosting provider, website updates (undertaken by us, as stipulated in the selected package at purchase) and specific performance analytics. Services continue only while the relevant subscription remains active and payments are up to date.
All payments are processed securely through our nominated payment provider. Payments may be structured as one-time payments or monthly subscription charges (whereby it is the purchaser's responsibility to cancel any and all monthly payment plans should you wish to terminate the subscription). All fees are due in accordance with the payment schedule agreed at the time of purchase.
Failure to make payment when due may result in suspension or termination of Services without further notice. Where payment is disputed or reversed through a chargeback or payment processor claim, Token Root reserves the right to immediately suspend services until the matter is resolved.
For all website projects, Token Root will present a working demonstration website to you for review prior to sale. We will work with our clients to ensure satisfaction of the final product ahead of offering you the opportunity to purchase.
The delivery of the final website will only be undertaken once you have provided written or electronic approval of the demonstration. Your approval of the demonstration constitutes your acceptance that the delivered Service meets the agreed specification. Any changes requested after approval may be subject to additional charges, unless contained within a purchased subscription plan.
For one-time website purchases, Token Root provides a complimentary 90-day care period commencing on the date of sale that relate directly to defects in the original build. During this period, Token Root will fix bugs or coding errors that are directly attributable to the original build and restrict the usability of the purchased product.
This care period does not cover:
Clients may purchase extended support packages providing access to ongoing Token Root assistance. Depending on the package purchased, support may include bug fixes and coding error corrections and minor code adjustments to ensure the product purchase works in line with Token Roots intended usability requirements. Care packages do not include full redesigns or development work unless separately agreed in writing. Token Root will use reasonable endeavours to respond to support requests within a reasonable time, but does not guarantee any response time or resolution time unless a specific service level is agreed in writing.
Token Root will provide a refund only where a website delivered is materially defective or non-functional as a direct result of an error in Token Root's own work, and Token Root has been given a reasonable opportunity to remedy the defect but has failed to do so.
Refunds will NOT be provided for:
Token Root relies on third-party platforms and services to deliver certain features and infrastructure, including payment processors, and website hosting providers. Token Root does not control these third-party services and cannot guarantee their continued availability, functionality, or operation.
Token Root shall not be responsible for any outages, disruptions, data loss, service degradation, policy changes, or discontinuation of services caused by third-party providers. No refund, compensation, or liability will arise where a website or service is affected by the failure, suspension, shutdown, or operational changes of any third-party platform.
Where reasonably possible, Token Root may assist clients in migrating or restoring services following such events, but any such assistance may be subject to additional fees and a duration at our discretion.

Token Root does not verify or guarantee the legality or accuracy of client-provided content and accepts no liability in this regard.
You retain ownership of your website content and branding. The website infrastructure and hosting may be dependent on the website hosting platform. Token Root does not transfer platform licences or third-party software rights.
Token Root retains the right to reference completed projects in its portfolio and marketing materials unless you request otherwise in writing prior to project commencement.
To the fullest extent permitted by applicable law, Token Root shall not be liable to you for loss of profits, revenue, or business, the loss of data or goodwill, indirect, special, or consequential damages or any loss arising from your reliance on third-party services.
In all cases, Token Root's maximum aggregate liability to you shall never exceed the total amount paid by you to Token Root for the specific service giving rise to the claim.
Token Root does not guarantee that Services, websites, or third-party platforms will be continuously available without interruption, error, or downtime. We will use reasonable endeavours to ensure availability but cannot warrant uninterrupted access.
Token Root may suspend or terminate your Services without liability where payment is not received by the due date or you breach any provision of these Terms.
You may cancel a subscription service at any time in accordance with the cancellation process unless a minimum contract term applies, in which case the terms of that minimum term shall govern.
Token Root may update these Terms from time to time. The version of the Terms applicable to any purchase is the version published on our website and in force at the time your order is placed. We encourage you to review these Terms prior to each purchase.
Token Root shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control, including but not limited to internet outages, cyber incidents, third-party platform failures, natural disasters, or regulatory changes.
